Hidden Disabilities Sunflower Membership Terms and Conditions

Welcome to our Sunflower Member Terms and Conditions (“Terms and Conditions”).

These Terms and Conditions define the terms that apply to your Sunflower Membership. Please read these Terms and Conditions carefully to understand how they apply to you. Your contract is with Hidden Disabilities Sunflower Scheme Limited. We are a company registered in England and Wales with company number 12285749, and our registered office is at 167-169 Great Portland Street, 5th Floor, London W1W 5PF. You can contact us via the contact details at the foot of these Terms and Conditions.

In addition to these Terms and Conditions, you will also be subject to the individual terms which govern the specific Sunflower Membership you choose. These terms will be available on the website page where you purchase your Sunflower Membership (“the Landing Page”). Please refer in particular to the Legal Notices section of the Landing Page for terms regarding your specific Sunflower Membership.

1. Age

We are only able to contract with you if you have the power to enter into this contract. This means that you will only be able to enter into this contract if you are 18 years or older in England, Wales or Northern Ireland; or 16 years or older if you live in Scotland; or if the laws where you are otherwise resident allow you to enter into this contract.

2. Definitions

For the purposes of these Terms and Conditions:

  •  “We”, “us”, “our”, "the Company" refers to Hidden Disabilities Sunflower Scheme Limited
  • "You”, “your”. the "Partner" refers to the individual purchasing or accessing a Sunflower Membership
  • “Membership” or “Sunflower Membership” refers to a paid subscription package offered by us
  • “Landing Page” refers to the specific webpage through which a Membership is purchased
  • “Content” refers to any resources, training videos, or materials accessed through Membership

3. Conditions of Use

3.1. You are not required to purchase anything for limited use of our website. However, access to certain content and services will be restricted unless you purchase a Sunflower Membership. Please see our FAQs for more information.

3.2. With a Sunflower Membership, you will be granted access to additional online content. Access may vary depending on the package you select. Full details of available content are outlined on the Landing Page.

3.3. While we strive to ensure broad accessibility across devices, we do not guarantee compatibility with all hardware, operating systems, or browsers. If access cannot be provided and cannot be resolved, you may cancel your Membership for a full refund.

3.4. This is an instantly accessible service. By purchasing a Sunflower Membership, you agree that the service will begin immediately upon payment and waive any statutory waiting period. Please refer to clause 6 for cancellation rights.

 4.    Memberships are on an annual basis.

You may not cancel your Membership within the first 12 months, except as stated in clause 6.2 (right to change your mind within 14 days).

5.    Payment

5.1. Pricing is clearly displayed during the ordering process. By proceeding, you agree to the quoted price and billing frequency.

5.2. We accept all major credit and debit cards. Your payment method will be charged at the start of your Membership and then on an annual basis.

5.3. Proof of purchase will be emailed to the registered address.

5.4. Membership access may be suspended if payment fails.

5.5. Charges will appear as “Hidden Disabilities Sunflower” on your statement.

5.6. If you are paying by bank transfer with a purchase order, access to some benefits may be delayed until full payment is received.

6.    Exclusive or introductory offers

If you take up an exclusive or introductory offer, your Sunflower Membership price will automatically revert to the standard price once your offer period ends unless you terminate your Sunflower Membership as outlined below. Please refer to your welcome email for full details.

7.    Termination

7.1.    Minimum Sunflower Membership Periods: Memberships are for a minimum of 12 months. You cannot cancel during this period, except under clause 7.2.

7.2.    Termination within 14 days of subscribing: 

You may cancel your Membership within 14 days of subscribing and receive a refund, minus the value of any services you have already accessed during that period. The refund will be processed using the same payment method used to purchase your Sunflower Membership (unless otherwise agreed), and no later than 14 days from the date you notify us of cancellation.

We reserve the right to retain a portion of your payment that corresponds to the value of the Membership benefits you have received up to the cancellation date. This deduction will be calculated proportionally based on the total Membership period.

Upon cancellation, your access to the website and all associated Membership benefits will end immediately.

7.3.    Termination after 14 days of subscribing: 

If you do not cancel your Sunflower Membership within the initial 14-day period, your Membership will continue for a minimum term of 12 months. After this initial term, it will automatically renew for successive 12-month periods unless cancelled.

You may notify us at any time of your intention to cancel; however, cancellation will only take effect at the end of your current 12-month Membership period.

We must receive your cancellation notice at least 72 hours before your next scheduled payment is due in order to prevent automatic renewal.

If your notice is received less than 72 hours before your next scheduled payment, the cancellation will apply to the following renewal period, and you will be required to complete the upcoming payment cycle.

7.4.    If payment fails or is stopped, your access may be revoked immediately.

7.5.    Where we may stop or suspend your Sunflower Membership: We may stop or suspend providing the Sunflower Membership to you at any time if we consider that you are in breach of these Terms and Conditions by notifying you at the registered email address. This may include failure to pay for other orders if using credit.

7.6.    How to cancel your Sunflower Membership: You can change or cancel your Sunflower Membership at any time by emailing us at [email protected] and providing your name, address, details of the order, and, where available, your phone number and email address. 

8. User responsibilities and acceptable use

You agree not to:

  • Share your account or content with others outside your organization (unless explicitly permitted)
  • Reproduce, distribute, or publicly display Membership content without our prior written consent
  • Attempt to gain unauthorised access to other accounts or restricted areas

9. Intellectual Property

9.1 All intellectual property rights, including but not limited to trademarks, logos, trade names, service marks, brand guidelines, copyrighted materials, digital content, and designs (collectively, the “Intellectual Property”) are and shall remain the sole and exclusive property of Hidden Disabilities Sunflower Scheme Limited (“the Company”).

9.2 The Company hereby grants the Partner a limited, non-exclusive, non-transferable, non-sublicensable, and revocable licence to use the Company’s Intellectual Property strictly for the following permitted purposes:

  • The marketing and promotion of the Hidden Disabilities Sunflower membership, in accordance with any brand guidelines or instructions provided by the Company
  • The production and distribution of marketing materials or signage that has been expressly approved in writing by the Company
  • The promotion and distribution of officially authorised Hidden Disabilities Sunflower products via physical retail or online channels

9.3 All use of the Company’s Intellectual Property must comply with the brand usage guidelines issued by the Company, as updated from time to time. The Partner acknowledges receipt of these guidelines and agrees to adhere to them in full. Use outside of these guidelines is strictly prohibited.

9.4 The Partner shall not, under any circumstances:

  • Alter, adapt, distort, or modify any of the Company’s Intellectual Property;
  • Register or attempt to register any of the Company’s trademarks, logos, or confusingly similar marks;
  • Use the Company’s Intellectual Property in any manner that could mislead the public, damage the Company’s reputation, or imply unauthorised association or endorsement.

9.5 The Company reserves the right to audit the Partner’s use of its Intellectual Property at any time and to revoke or suspend this licence immediately upon written notice, without liability, if the Partner breaches these Terms or if such use is no longer aligned with the Company’s brand or business interests.

9.6 Upon termination or expiration of the agreement, the Partner must immediately cease all use of the Company’s Intellectual Property and, at the Company’s discretion, destroy or return all materials containing such assets.

10. Use of Training videos

The Hidden Disabilities Sunflower training videos are provided solely for internal use by your employees. These videos are intended to support awareness and understanding within your organisation only. Sharing, distributing, or otherwise making these videos available outside of your organisation—including to third parties, external suppliers, contractors, or partners—is strictly prohibited. Any such unauthorised use will constitute a breach of the terms and conditions of your Sunflower membership.

11. Limitations of Liability

We shall not be liable for any indirect, incidental, or consequential damages (including loss of data, business, or profits) arising from use or inability to access Membership services. Our total liability to you for any claim under these Terms shall not exceed the amount paid by you for your current Membership period.

12. Amendments

We may make amendments to these Terms and Conditions to reflect changes in the law or in how we conduct our business. If we amend these Terms and Conditions, we will notify you by emailing the registered email address. If we make material changes to these Terms and Conditions, you may contact us to end the contract before the changes take effect and receive a refund for any services paid for but not received.

13. Transfer

We may transfer our rights and obligations under these Terms and Conditions to another organisation. We will always tell you in writing if this happens, and we will ensure that the transfer will not affect your rights under these Terms and Conditions.

14. How we will use your personal information

We will process your personal data only in accordance with our Privacy Policy

15. Rights of other Parties

These Terms are between you and us. No third party has rights to enforce them.

16. Enforceability

If a court finds part of this contract unlawful, the remainder will continue in force. Each of the paragraphs of these Terms and Conditions operates separately. If any court or relevant authority decides they are unlawful, the remaining paragraphs will remain in full force and effect.

17. Waiver of Rights

Even if we delay in enforcing these Terms and Conditions, we can still enforce them later. For example, if you miss a payment and we do not chase you but continue to provide the Sunflower Membership, we can still require you to make the payment later.

18. Delays outside our control

If an event outside our control delays our supply of the Sunflower Membership service, then we will contact you as soon as possible to let you know, and we will take steps to minimise the effect of the delay. Provided we do this, we will not be liable for delays caused by the event, but if there is a risk of substantial delay, you may contact us to end the Sunflower Membership and receive a refund for any services you have paid for but not received.

19. Accessibility

We are committed to making our digital content accessible in accordance with recognised standards (e.g., WCAG 2.1). Please contact us if you experience access difficulties.

20. Dispute Resolution

If you have a complaint or dispute, please contact us at [email protected]. We aim to resolve all issues amicably. If a resolution cannot be reached, you may pursue legal action in accordance with Clause 20.

21. Which laws apply to this contract and where you may bring legal proceedings

These terms are governed by English law, and you can bring legal proceedings in respect of your Sunflower Membership in the English courts. If your organisation is registered in Scotland, you can bring legal proceedings regarding your Sunflower Membership in the Scottish or English courts. If your organisation is registered in Northern Ireland, you can bring legal proceedings regarding your Sunflower Membership in either the Northern Irish or the English courts.
